WEBSITE TERMS AND CONDITIONS OF USE

Our platform is a B2B service designed for insurance industry professionals. Access to the platform is restricted to:

• Organisations that have been invited by Silas Insurtech to use the platform
• Individual users who have received an invitation from Silas Insurtech on behalf of their organisation
• Organisations that have entered into a service agreement with Silas Insurtech (for full access)

We reserve the right to refuse access to any organisation or individual at our sole discretion.

We may provide demo access to prospective clients to evaluate our platform. If you are granted demo access:

• Demo access is provided for evaluation purposes only and does not constitute a commercial agreement
• You may upload documents for testing purposes; however, any documents uploaded during demo access will be deleted immediately after your demo session
• Demo access may be terminated at any time without notice
• All other terms in this agreement apply to demo users

To obtain full access to our platform, your organisation must enter into a service agreement, including a Data Processing Agreement (DPA), with Silas Insurtech.

Subject to these Terms and Conditions and any applicable service agreement, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use our platform for your organisation's internal business purposes.

Under this licence, you may not:

• Modify, copy, or create derivative works based on our platform or its content
• Use the platform for any purpose other than as intended for our document analysis services
• Attempt to reverse engineer, decompile, or disassemble any software contained on the platform
• Remove any copyright, trademark, or other proprietary notices from the materials
• Share your access credentials with any third party or allow unauthorised access to your account
• Use any automated systems or software to extract data from the platform (scraping)

This licence shall automatically terminate if you violate any of these restrictions and may be terminated by us at any time.

All content on this platform, including but not limited to text, graphics, logos, icons, images, software, and the underlying technology, is the property of Silas Insurtech Ltd or its licensors and is protected by United Kingdom and international copyright, trademark, and other intellectual property laws.

The Silas Insurtech name, logo, and all related names, logos, product and service names, designs, and slogans are the property of Silas Insurtech Ltd. You must not use such marks without our prior written permission.

Documents you upload to the platform remain your property (or the property of the data controller on whose behalf you are processing). We claim no ownership rights over your content.

Access to our platform requires an account. Accounts are created by invitation only - you will receive an invitation from Silas Insurtech to register. You agree to:

• Provide accurate, current, and complete information during the registration process
• Maintain and promptly update your account information to keep it accurate and complete
• Maintain the security and confidentiality of your login credentials
• Not share your account credentials with any other person
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorised use of your account
• Notify us if you leave your organisation so we can disable your account

We reserve the right to disable any user account at any time if, in our opinion, you have violated any provision of these Terms and Conditions, or if you are no longer authorised by your organisation to access the platform.

You agree not to use the platform in any way that:

• Violates any applicable local, national, or international law or regulation
• Violates any data protection or privacy laws, including UK GDPR
• Is fraudulent, false, misleading, or deceptive
• Infringes upon the rights of others, including intellectual property rights
• Transmits any viruses, malware, or other malicious code
• Attempts to gain unauthorised access to any part of the platform or its related systems
• Interferes with or disrupts the integrity or performance of the platform
• Uploads documents you do not have the right to process

Our platform uses artificial intelligence and machine learning technologies to analyse documents and provide insights. You acknowledge and agree that:

• AI-generated outputs are provided as decision-support tools and should not be relied upon as the sole basis for business decisions
• AI analysis may contain errors, omissions, or inaccuracies
• You are responsible for reviewing and verifying any AI-generated outputs before relying on them
• We do not guarantee any specific level of accuracy for AI-generated analysis
• Human review and professional judgement should always be applied to AI outputs

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SILAS INSURTECH LTD AND ITS DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to, use of, or inability to access or use the platform
• Any errors, inaccuracies, or omissions in AI-generated analysis or outputs
• Any decisions made based on information provided by the platform
• Unauthorised access, use, or alteration of your transmissions or content

Nothing in these Terms and Conditions excludes or limits our liability for death or personal injury arising from our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

For clients with a service agreement, any additional liability terms in that agreement shall take precedence over this section.

You agree to indemnify, defend, and hold harmless Silas Insurtech Ltd, its officers, directors, employees, agents, and suppliers from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:

• Your access to or use of the platform
• Your violation of these Terms and Conditions
• Your violation of any third-party rights, including intellectual property rights or data protection rights
• Any documents or content you upload to the platform
• Any breach of your obligations under applicable data protection laws

These Terms and Conditions should be read in conjunction with our:

• Privacy Policy – explains how we collect, use, and protect your personal data
• Cookie Policy – explains how we use cookies and similar technologies

For clients with a service agreement, the terms of that agreement (including any Data Processing Agreement) shall take precedence over these Terms and Conditions in the event of any conflict.
